Agreement to These Terms

These Terms & Conditions apply to visitors, prospective customers, and clients of Syntrixa. Using the website does not automatically create a client relationship. A service engagement begins only when both parties accept a quotation, proposal, order, or other written confirmation. That project document and these terms should be read together.

Acceptable Website Use

You may use this website to learn about our services and contact us for legitimate business purposes. You must not attempt to disrupt the website, gain unauthorized access, introduce harmful code, copy protected material without permission, or use the site in a way that violates applicable law or another person’s rights.

Project Scope and Changes

Each engagement is limited to the tasks, deliverables, revision allowances, assumptions, and schedule described in the accepted project document. Requests outside that scope may require a revised timeline and additional fees. Dates are estimates unless expressly confirmed as fixed deadlines, and may change when approvals, content, access, or dependencies are delayed.

Your Role in Delivery

Clients must provide complete and accurate instructions, lawful content, prompt decisions, and safe access to the accounts or systems needed for the project. You are responsible for reviewing deliverables and reporting concerns within the review period stated in the project document. You should maintain appropriate backups and protect any credentials shared for the work.

Charges, Invoices, and Taxes

Prices, deposits, payment stages, and recurring charges are set out in the applicable quotation or invoice. Amounts must be paid by the stated due date and may exclude taxes or third-party costs unless noted otherwise. We may pause work or withhold final deliverables while an invoice is overdue. Refund requests are handled under our Refund Policy and any project-specific written terms.

External Services and Expenses

Hosting, domains, advertising spend, stock assets, software subscriptions, payment processors, and other third-party products may be subject to separate charges and provider terms. Unless agreed otherwise, the client is responsible for these accounts and expenses. Syntrixa cannot control a provider’s availability, pricing, policies, approvals, suspensions, or technical changes.

Ownership and Permissions

Clients retain ownership of materials they supply and grant us permission to use those materials for the agreed work. Syntrixa retains ownership of its pre-existing methods, tools, templates, know-how, and reusable components. Ownership of specifically commissioned final deliverables transfers only as described in the project document and after all related invoices are paid. Third-party assets remain subject to their original licences.

Confidential Information

Each party should use reasonable care to protect non-public business, account, and project information received from the other. Confidential information may be disclosed when required by law or to trusted providers who need it to support delivery and are subject to appropriate obligations.

Results and Warranties

We aim to perform services with reasonable care and professional skill, but business and technical results depend on many variables. We do not guarantee rankings, traffic, leads, sales, uninterrupted availability, approval by third-party platforms, or compatibility with every future system update. Additional limitations are explained in our Disclaimer.

Limitation of Liability

To the extent allowed by applicable law, Syntrixa will not be liable for indirect, special, incidental, or consequential loss, including lost profit, revenue, opportunity, goodwill, or data. Nothing in these terms excludes a responsibility that cannot legally be excluded or limited.

Suspension and Ending a Project

Either party may end an engagement according to the notice requirements in the accepted project document. We may suspend or terminate work for non-payment, unlawful use, abusive conduct, security risk, or a serious breach that is not corrected after notice. The client remains responsible for completed work, committed costs, and amounts due up to the effective end date.

Updates and Contact

We may revise these website terms as our services or legal obligations change. The version displayed on this page applies from the time it is published, while an existing signed or accepted agreement continues to govern that engagement unless amended by the parties.
